4. Miscellaneous
This Agreement is entered into in the State of Iowa and shall be governed by and construed in accordance with the laws of the State of Iowa, exclusive of its choice of law rules. Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Linn in the State of Iowa, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys fees. In the event that any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto are expressly canceled. AEGON Institutional Markets, Inc. may modify the terms of this Agreement by posting notice of such modification on a page of the Site entitled "Legal Notices" or "Legal Information" (or similar title) before the modification takes place.
5. AEGON Institutional Markets' Disclosure Policy
AEGON Institutional Markets, Inc. distributes products including guaranteed investment contracts ("GICs") and funding agreements (collectively "products") issued by affiliates Monumental Life Insurance Company, Transamerica Financial Life Insurance Company, or Transamerica Life Insurance Company (the "issuing companies"). GICs and funding agreements are insurance contracts offering a guarantee of principal and a fixed or floating rate of interest.
AEGON Institutional Markets' distribution channels for products vary by market. Some products are marketed directly to purchasers; others are marketed using bidding agents, consultants, GIC managers, or investment banks (collectively "intermediaries").
Generally, these intermediaries are paid a fee that is determined in advance of AEGON Institutional Markets' involvement in a transaction.
All compensation, if any, paid by the issuing companies to intermediaries in connection with the sale of AEGON Institutional Markets' products is disclosed to contractholders at the time of issuance. Neither AEGON Institutional Markets nor the issuing companies provide any other cash compensation to intermediaries in connection with the sale of products.
In addition, intermediaries may occasionally be the beneficiaries of promotional items, meals, entertainment, or other "noncash" benefits from AEGON Institutional Markets or the issuing companies. Employees of AEGON Institutional Markets' affiliates may occasionally be the beneficiaries of promotional items, meals, entertainment or other noncash benefits from the intermediaries. Intermediaries may receive compensation from sources other than AEGON Institutional Markets or the issuing companies in connection with the sale of a product. Please ask the intermediary for information regarding any additional cash and noncash compensation he or she may receive or pay in connection with a transaction.
